These terms apply to the relationship between Lotus Consulting and clients that are organisations or companies. They supplement the signed service agreement; where the two differ, the agreement prevails.

1. Who these terms apply to

Lotus Consulting serves companies, cooperatives, representative offices and organisations with accounting and tax obligations in Vietnam, both domestic businesses and foreign invested enterprises (FDI).

2. Scope of services

  • Full monthly accounting: bookkeeping, financial statements, VAT, personal income tax and corporate income tax filings.
  • Tax finalisation and pre-inspection review of the books.
  • Company formation, Investment Registration Certificate (IRC) and Enterprise Registration Certificate (ERC) applications.
  • VAT refund advisory and specialised tax matters.
  • The exact scope for each client is defined in the service agreement and its appendices.

3. How we work together

  • Assessment of your needs and the current state of your books.
  • A quote based on document volume and business sector.
  • Signing of the service agreement, defining scope and the contact person on each side.
  • Handover of documents on the agreed schedule.
  • Lotus performs the work and returns reports together with a handover record.

4. Lotus Consulting's responsibilities

  • Perform the work in line with Vietnamese accounting standards and current tax regulations.
  • File returns and reports on time, provided documents are delivered by the agreed deadline.
  • Keep your figures and business information strictly confidential.
  • Bear the penalties arising from our own processing errors, to the extent and in the manner set out in the agreement.
  • Notify you promptly when we identify a legal risk in your records.

5. Client responsibilities

  • Provide complete, valid documents by the agreed deadline.
  • Remain responsible for the truthfulness and legality of the documents and information provided.
  • Nominate a contact person and respond within a reasonable time when we need confirmation.
  • Pay the service fee as agreed.

6. Fees and payment

Fees depend on document volume, business sector and whether bilingual reporting is required. The figure shown by the estimator on the home page is indicative only; the binding fee is the one stated in the agreement.

Fees are usually paid monthly or quarterly, before the work for the relevant period begins, unless the agreement says otherwise.

7. Term and termination

  • The agreement runs for the agreed term and may be renewed in writing.
  • Either party may terminate on at least 30 days' written notice.
  • On termination Lotus hands back all books, documents and data within the agreed period, once both parties have settled their payment obligations.

8. Limitation of liability

Lotus Consulting is not liable for loss or penalties arising from: documents provided by the client that are untruthful or late; the client's own business decisions; unforeseeable changes in law; or events of force majeure as defined by law.

9. Confidentiality

Both parties undertake not to disclose the other's information to third parties during the term of the agreement and after it ends, except where required by law. The details are set out in the confidentiality clause of the service agreement.

10. Dispute resolution

Disputes are first addressed through good-faith negotiation. If no settlement is reached within 30 days, the dispute is referred to a competent court in Vietnam and resolved under Vietnamese law.
